How it Started 

Raghav’s journey towards clearing the SEBI Grade A Legal Officer exam had not begun with the SEBI Grade A exam notification. It goes back to his law student days, since he started his final year of his bachelor’s program, Raghav had clarity about what he wanted: a legal career awaited him, and the right path had to be formed for it. 

He also had experience with legal internships by going to district courts for a while and got hands-on exposure to the processes, gaining a good understanding of legal fundamentals. This exposure not only enriched his knowledge but also strengthened his desire to take up competitive exams like SEBI Grade A Legal. 

Raghav did not wait for the SEBI notification to start preparing, nor was he religiously rote learning for the exam once the notification was out; rather, he prepared diligently with a strategy to work upon his basics to lay a strong foundation. He knew this would serve him when he plunged deep into advanced-level topics that are a must for preparation in the SEBI Grade A Legal exam. That is why from his bachelor’s onwards, he made sure to keep his concepts strong. This proactive approach turned out to be his lead, as by the time he officially started preparing for the SEBI Grade A Legal exam, he had already been well-prepared for certain topics. Raghav’s journey was not one of last-minute cramming but a well-planned and steadily pursued path to success. Let us explore it in depth. 

Preparing for SEBI Grade A Legal Phase 1 

Raghav had been very practical about his strengths and weaknesses from the beginning. This proved to be extremely beneficial for him when covering the syllabus for the SEBI Grade A Phase 1 exam. He knew that while he was not exceptionally fond of Logical Reasoning and Quantitative Reasoning, he just needed the aggregate qualifying marks in the Phase 1 exam which was 40%. He instead focused on other areas and topics from the syllabus to make sure he was able to clear the first stage of the SEBI Grade A Legal selection process which he did. He focused on his strengths that were the English Language and General Awareness. 

He knew that English was an essential part of all stages of the exam, and he had to practice English in more depth, sooner rather than later which laid the foundation for his success in the second phase of the SEBI Grade A exam.  

Preparing for SEBI Grade A Legal Phase 2  

With the change in the selection stage, Raghav’s preparation strategy had to change too. This means that Raghav had to adopt a more targeted and strategic approach for the second stage of the SEBI Grade A Legal examination. His preparation for the SEBI Grade A Legal Phase 2 exam was multi-dimensional in nature, with strong emphasis on both the English and the Legal of the exam. 

Raghav knew how important a role the English language plays in competitive examinations, and most importantly, in descriptive answers. He practiced his writing skills, knowing full well that clear, concise, and well-structured answers would give him an edge over his peers. In order to achieve this, he regularly practiced typing out the answers to questions and tried to simulate examination conditions so as to increase his speed and accuracy. Further, reading the newspaper on a daily basis became a routine for Raghav that not only kept his language skills but also his general awareness up to date with what is going on around him. 

For the legal portion of the SEBI Grade A Phase 2 exam, Raghav has largely depended upon reading bare acts and ixamBee’s study notes that were a part of the ixamBee SEBI Grade A Legal Online Course he had joined. The notes of the course provided a clear, structured overview of the legal concepts. This was especially important with the new additions and changes in this year’s SEBI exam. Clearing the Final SEBI Grade A Legal Exam Stage: The Interview 

Getting to the interview stage of the SEBI Grade A Legal exam represents one’s hard work and the fact that the candidate knows the theoretical concepts required for this examination. However, clearing this final stage was beyond the book knowledge. Raghav realized that it is all about confidence, personality, and presence of mind. 

According to him, if he has reached the interview, the theoretical concepts have already been acquired. This would help him in answering questions put forth by the interview panel. At this level, what really differentiates a candidate is the confidence and the way he or she presents himself before the interviewer. Honesty and truthfulness are critical during the SEBI Grade A Legal Interview according to Raghav. He insists that the attitude you will show during the interview will greatly determine its outcome. It is not only what you say but how you say it. Effective communication and conversing confidently and professionally contribute a lot to success in the interview. 

Raghav also mentions conversational English, which becomes necessary as it helps you express your views in a coherent and correct manner while the interview is going on. Apart from just looking at your knowledge, the interviewers will look at how well you communicate and how you will keep your calm in the situation. Raghav’s strategy for facing the interview was to be genuine, keep the level of confidence high, and let the interviewer have a glimpse of his personality. 

Besides this, the focus on soft skills, along with thorough preparation, finally helped Raghav clear the final stage of the SEBI Grade A Legal exam and come closer to his dream career. SEBI Grade A 2024 Notification

Similarly, the SEBI Grade A Notification 2024 was released on June 11, 2024. Moreover, the Phase 1 exam, as per the notification has been scheduled to take place on 27 July, 2024 while Phase 2 exam is tentatively scheduled to take place on August 31, 2024.

Similarities and Differences in Phase 1 and Phase 2

  • In SEBI Grade A Legal, the candidates have to score a minimum cut-off i.e 1/3rd and 2/3rd in Phase 1 as well as Phase 2 to qualify for Phase 3 i.e. Interview. Whereas, in PFRDA Legal you will have to secure separate cut-offs in each paper as well as overall cut-off marks in Phase 1 and Phase 2, which will be decided by the Authority.
  • In PFRDA Grade A Legal exam, the total number of questions to be asked are also specified in the notification, whereas, SEBI provides a separate information handout for the same prior to the exam.
  • The PFRDA Grade A Legal Phase 2 to Interview ratio is the same as SEBI Grade A Legal exam i.e. 85:15.

Syllabus

The PFRDA Grade A Legal syllabus is largely similar to the SEBI Grade A Law Officer syllabus. However, there are two additional subjects in the syllabus of PFRDA Grade A Legal exam i.e. PFRDA Act, 2013 and IRDAI Act, 1999. 

Eligibility Criteria

The Securities and Exchange Board of India (SEBI) is an autonomous body. It has the responsibility of regulating and developing the securities market in India. It is a regulatory body under the Ministry of Finance. Its head office is located at Bandra Kurla Complex, Mumbai.

Before moving further, let’s have a brief introduction about what SEBI is all about and what is its importance. 

Are SEBI Employees Allowed to Trade in Stock Market?

What is SEBI?

SEBI was first established as a non-statutory body on April 12, 1988, through an Administrative Resolution of the Government of India with the objective of regulating and developing the securities market and protecting the interest of the investors. However, it was given statutory powers on January 30, 1992, with the passing of the SEBI Act 1992 by the Parliament. The SEBI Act came into force on April 04, 1992.

Why was SEBI Constituted?

SEBI was constituted because, before SEBI, the law relating to the regulation of securities was contained in different statutes. These are- the Companies Act, 1956, Securities Contract (Regulation) Act, 1956, and the Capital Issues (Control) Act, 1947. This made regulation of the securities market difficult as the legislations were scattered and the administrative agencies did not have the proper expertise to deal with the investors.

However, the Government of India conferred additional statutory powers to SEBI in the year 1995 through an amendment to the SEBI Act, 1992.

Moreover, to ensure accountability, SEBI also provides an appeal process. An aggrieved party can file an appeal to the Securities Appellate Tribunal (SAT). SAT has the power of hearing and disposing the appeals against the orders passed by SEBI. Furthermore, a party aggrieved by the order of SAT can prefer a second appeal to the Supreme Court of India.

Are SEBI Employees Allowed to Trade?

The securities market in India has developed manifold in the last few decades. Many people are now investing in the securities market because there is a potential of earning higher returns. During the Covid-19 pandemic, when so many people lost their jobs, the returns from the securities market offered a slight respite in the form of passive income. However, when it comes to its employees, SEBI has put several restrictions.

Now that we have understood what SEBI is and learned about its role, objectives, and powers, with respect to the securities market, let’s now look into another important aspect-

Can SEBI employees trade in the securities market?

The short answer is, No.

As per the SEBI (Prohibition of Insider Trading) Regulations, 2015, SEBI employees are prohibited from trading in securities.

SEBI issued the law of (Prohibition of Insider Trading Regulations) in 2015. Under this law, any professional acting as a KMP, board of directors, or associated with the promotor group in any way shall be prohibited from trading or investing in securities that are listed or happen to be listed in the Stock Exchange. 

The law was last amended in November 2022 with the prohibition of communication of insiders about trading to any external body or person. The restriction of SEBI Employees from trading left people curious about the potential reasons behind it. You are going to know about those reasons later in this blog. 

But before that, let us first understand the difference between Investment and Trading.

Investing

The purpose behind investing is to gradually build your wealth over an extended period of time. This is done through the buying and holding of a portfolio of stocks, mutual funds, bonds, and other investment instruments. Generally, investments are held for a period of years or even decades. This enables the investors to take advantage of benefits like interest and dividends along the way. 

Trading

On the contrary, trading deals with more frequent transactions like- buying and selling of stocks, commodities and other instruments. The goal here is to make short-term gains by buying at lower prices and selling at higher prices. This is done within a relatively short period of time.

65- Speculation in Stock, Shares, Investments, etc.(1) Employees are prohibited from engaging in ‘Badla’ trading/trade, speculating in stock, shares, securities or commodities of any description.

(2) Employees having knowledge of unpublished price sensitive information shall not encourage any person to deal in securities to which it relates.

(3) Each employee will be deemed as an “insider” within the meaning of Regulation 2 (1) (g) of the SEBI (Prohibition of Insider Trading) Regulations 2015 and the provisions of this regulation are applicable to each member of the Board.

Reasons for not allowing SEBI Employees to Trade

Being a regulator of the securities market, it is the duty of SEBI to provide an equal footing to investors and traders. Given below are the reasons for not allowing SEBI employees to trade-

  • SEBI employees play a special role in monitoring many sensitive activities of the stock market. Therefore, the employees are exposed to a lot of confidential information. This information may be used by an official to his/her advantage by using it ahead of time. So, allowing them to participate in the securities market will create a conflict of interest between the employees and the objectives of SEBI.
  • Another important point to note is that, while regulating the stock market, SEBI employees also work very closely with various companies. Therefore, the employees fall under the purview of “insider” within the meaning of Regulation 2 (1) (g) of SEBI (Prohibition of Insider Trading) Regulations, 2015. Hence, it would be unfair to allow the employees to invest in the securities market as they would possess knowledge of unpublished price-sensitive information.
  • Maintaining an efficient market is the goal of a regulatory body. An efficient market is one, where current market prices accurately present all information available to the interested parties. In an efficient market, there would be no way of “beating” the market and making a profit from mispricings, as they would not exist. Therefore, it makes sense to keep SEBI officials away from participating directly in the securities market as market manipulation will not be possible.

The above mentioned restrictions will apply only when a person is already working with SEBI. However, the situation will be different before they join SEBI.

There are three questions that come to mind when we talk about the second situation. Let us understand in detail-

Q1) What happens if your parents/spouse/in-laws invest in the securities market before you become a part of SEBI? Do they have to withdraw from the market with immediate effect once you join SEBI?

  • As per Regulation 66 of SEBI (Employees’ Service) Regulations, 2001, upon joining, every employee is required to declare a statement of all their assets and liabilities within 30 days as per Section 44 (2) of the Lokpal and Lokayuktas Act, 2013.
  • Moreover, every employee has to file an annual return of such assets and liabilities with the Board before July 31 of every year as per Section 44 (4) of the Lokpal and Lokayuktas Act, 2013.
  • Furthermore, if an employee enters into a transaction with respect to movable properties (including securities) either in his own name or in the name of a member of his family, he has to report such transaction to the competent authority within 30 days from the date of such transaction.

Q2) What happens if the person gets married/engaged before becoming a part of SEBI? Can their spouse/fiancé still invest in the securities market?

  • The fiancé/spouse may invest in the securities market, but upon marriage when he/she becomes the spouse, then all rules will apply.
  • Thus, the restrictions on investments under Regulation 65 of SEBI (Employees’ Service) Regulations, 2001 will apply to the spouse/fiancé of the employee in the same manner as the employee. As such, the spouse/fiancé will not be allowed to invest in the securities Market.
  • However, these restrictions are there for trading and speculation purposes only. An employee and their spouse are allowed to invest in mutual funds for long-term savings and investment purposes. 

Q3) If these violations aren’t taken care of, then what actions can SEBI take legally?

  • If any employee violates any regulation, SEBI can impose penalties as per the nature of breach.
  • Regulation 79 of the SEBI (Employees’ Service) Regulations, 2001 provides penalties for breach of regulations.
  • The penalties are divided into minor and major penalties. Some of the minor penalties include- censure, withholding of promotion, withholding of increments of pay, etc. On the other hand, compulsory retirement, removal/termination of service, etc. are some of the major penalties.
  • Moreover, Regulation 80 of the SEBI (Employees’ Service) Regulations, 2001 provides that major penalties can be imposed only after conducting an inquiry.

Conclusion

From the above discussion, we can conclude that SEBI plays an important role in protecting the interest of the investors and in the promotion & development of the securities market. For this purpose, SEBI has set up many checks and balances to promote a market that is both fair and efficient. The Prohibition of Insider Trading Act 2015, is the initiative to regularize and enhance the authenticity of SEBI and its fair functioning.

There will be a sectional cut-off in the Phase 2 Exam of SEBI Legal Officer. You are required to secure minimum cut-off marks in both papers to qualify for the final round of the recruitment process. 

General things to remember in papers of both phases:

  • All papers are computer-based, make sure you have a fine typing speed. 
  • There will be a composite time for every section you attempt.
  • There will be a negative marking of 0.25 marks for every wrong answer you attempt.
  • All the papers in both phases can be attempted bilingually except the language paper of English. 

SEBI Grade A Legal Officer Syllabus

With all other subjects remaining common, aspirants appearing for the Legal Officer exam will be required to take 2 papers on Professional Knowledge, one in each phase of the exam. So before learning about types of Prospectus, let us know what a Prospectus is.

The prospectus is a legal document, which outlines the company’s financial securities for sale to investors. According to the companies act 2013, there are four types of prospectus, abridged prospectus, deemed prospectus, red herring prospectus, and shelf prospectus.

The prospectus can help investors make more informed investment decisions because it contains a host of relevant information about the investment or security. In areas other than investing, a prospectus is a printed document that advertises or describes an offering such as a school, commercial enterprise, forthcoming book, etc. All forms of prospectus exist to attract or inform clients, members, buyers, or investors.

Understanding Prospectus:

As per the Companies Act, 2013, a prospectus can include information such as an advertisement, circular, or notice among other legal documents inviting the public to the offering. Also, the prospectus should be issued only for the purchase of a company’s securities.

In order for a document to be considered a prospectus, it should act as an invitation for the public to purchase stocks/shares, debentures, or other instruments. Also, the prospectus should be issued by the company or an institution on behalf of the company and made solely for the public.

In case a private company wishes to convert to a public company, it is required to either issue a prospectus or file a statement in lieu of a prospectus of which the provisions are mentioned under Section 70 of the Companies Act, 2013

Essentials for a document to be called a Prospectus:

For any document to be considered a prospectus, it should satisfy two conditions. The document should invite the subscription to public share or debentures, or it should invite deposits. Such an invitation should be made to the public. The invitation should be made by the company or on behalf company. The invitation should relate to shares, debentures, or other instruments.

The Relevance of the Prospectus

Below is a few reasons why reading a prospectus is essential before investing.

You get to know more about the company: It is always wise to know all about where you put your money. This is especially true when investing in a company’s securities. Not only this can give you a better idea about the potential of the securities and the company itself, but it can also help you measure how much investing in the company is in alignment with your investment horizon. 

You get to know more about the securities: There are various securities that a company can offer to the public. This may include stocks, bonds, or even other debt instruments. Going through the prospectus can tell you more about the securities they are trying to sell you. Understanding this can help you make better investment decisions.

For instance, if you are reading a prospectus to find out more about a bond that a company is offering, you can learn about its price, type, face value, coupon rate, etc. This information can help you do your calculations before investing, making planning much easier. 

You get to know why they are raising money: There is no business that doesn’t aspire to growth. Every business owner will keep trying to expand their clientele so as not to become stagnate in a fast-growing economy. That means there will be plenty of reasons for companies to raise capital, but it is wise to check why they are raising the money before deciding to invest. This can help you understand if the company’s growth plans align with your risk appetite. For instance, if a company is raising money for an aggressive growth move, you might be better off investing in them if your investment choices are conservative. 

Prospectus and its Contents:

The prospectus contents are specified in the Companies Act. The prospectus must touch on the following content points:

  1. Details of the company, such as name, registered office address, and objects
  2. Details of signatories to the Memorandum and their shareholding particulars
  3. Details of the directors
  4. Details of shares offered and the class of the issue as well as voting rights
  5. Minimum subscription amount
  6. The amount payable on application, on the allotment, and on further calls
  7. Underwriters of issue
  8. Auditors of the company
  9. Audited reports regarded the profit and losses of the company

As mentioned above, a prospectus is a legal document as well, and the same is submitted to the Securities and Exchanges Board of India (SEBI). There are different stages that a prospectus will go through before SEBI approves one. The first stage is often the filing of a preliminary prospectus. As the name suggests, this document may only the preliminary data related to the offering. Investors can use this to gain early information about the investment opportunity to simplify the planning part. Once that is approved, the company may file a final prospectus, which SEBI will inspect. 

Now, there are different types of a prospectus that companies file, according to what security they are planning to issue. Below are some of the kinds of prospectus filings.

Red herring prospectus

Thanks to the kind of demand that the IPO market sees these days, the red herring prospectus has become a known name among many investors. For those who don’t know, a red herring prospectus is a document filed to SEBI before an IPO. During an IPO, a private company becomes public, and a lot of information has to be then disclosed to the public. Companies use a red herring prospectus to publicize this information. The document thus will contain their financials, performance numbers, goals, risks, etc., making it an ideal record for investors to dig deep and find the potential and risk in investing in the particular company. 

Shelf Prospectus

A shelf prospectus is filed when a company intends to issue bonds. Bonds are a way for companies to borrow money to raise capital from the public. Unlike lending from a bank, issuing bonds can be a more affordable option. At the same time, as far as investors are concerned, it is an opportunity to get returns through a less risky investment option.

Reading the prospectus before investing in bonds will help you better understand the same. In addition, there are important numbers such as coupon rate, face value, tenure, etc., that you should look at before investing in a bond, and all this information is available in a shelf prospectus. In the case of a shelf prospectus though, the company will not have to file another one to reissue bonds. In fact, a company can issue bonds up to four times once they issue a prospectus. 

Abridged prospectus

It is a type of prospectus that contains the list of all the prospectus and offers that the company has completed. This is for investors like you to understand more about the company and use it for research in decisions related to investment in the company.

Deemed prospectus

Under the implication of law, any document from the company that is meant to sell shares is considered a prospectus. Deemed prospectus becomes important when a company intends to bypass the SEBI laws and issue securities through an intermediary. Here, whenever the company issues securities, even when it is done through a merchant bank or a broker, the company has to issue a document of an offer for sale. This document is called a deemed prospectus. This way, the sale of securities is marked, and investors’ rights are protected even when the company is trying to sell its stocks through intermediaries.

CONCLUSION

A prospectus is basically a formal and legal document issued by a body corporate that acts for inviting offers from the public for subscription or purchase of any securities. Every public company is entitled to issue a prospectus for its shares or debentures. But, the same is not required for a private company.

I was preparing for Judicial Services and was working with a law firm in New Delhi in March 2020, just before the nationwide lockdown was imposed in light of the Covid-19 pandemic. I had barely settled in the place, when I got a call from my parents about the rising Covid-19 cases in Delhi. Before I knew it, I was back home. 

Also, in March 2020, SEBI had released its notification for recruiting Assistant Managers in various streams in Grade A, including Legal stream. With no other competitive exams in sight and nothing better to do, I decided to go for the SEBI Grade A exam. It was a government job, it paid well and most importantly, the posting would be in the state capitals. So, basically, the SEBI Grade A Legal exam met all the requirements.

Furthermore, I had taken the Commerce stream in Class 12, so, I did have a basic idea about the Securities and Exchange Board of India. However, once I started preparing for the SEBI Grade A Law Officer exam, I truly understood the role and importance of SEBI as an organization on a much deeper level. With this newfound knowledge and motivation, I nose-dived into my preparation. All the hard work and late nights paid off as I cleared both SEBI Grade A Legal Prelims & Mains with ease. It was now time to prepare for the most challenging step i.e the SEBI Grade A Law Officer Interview.

So, in today’s article, I will share my SEBI Grade A Legal exam and Interview experience and some tips to make your SEBI Grade A preparation easy. If you are planning to appear for the upcoming SEBI Grade A 2023 exam, I would sincerely urge you to go through the entire article carefully.

SEBI Grade A Legal Preparation

SEBI follows a standard three stage exam pattern i.e Phase 1 (Prelims), Phase 2 (Mains) & Phase 3 (Interview). Both Phase 1 and Phase 2 consist of two papers of 100 marks each. You need to secure a minimum cut-off in both the phases to qualify to the next stage. Phase 3 is the last and final step of the SEBI recruitment process.

Since I was appearing for the SEBI Legal exam for the first time, I was a little lost with respect to the preparation aspect. So, I wasted no time looking for some quality online resources for the same. One such reliable resource that I came across was ixamBee’s SEBI Grade A Legal Officer Online Course. SEBI Grade A Legal Interview Preparation

The SEBI Legal Interview was my first ever interview with a government organization, which was quite exciting and nerve wracking to say the least. So, first things first, I looked for Mock Interview courses for SEBI Grade A Law Officer Interview. This is because it is very easy to get overwhelmed and go off track in your interview preparation if you are not following a structured approach. 

For my interview preparation as well I had taken the SEBI Grade A Legal Interview Course. It is an all rounded course where you get an opportunity to learn from field experts like Sanjeev Sharma Sir (ex CGM RBI) and Sarat Malik Sir (ex CGM SEBI). I also had a one-on-one mock interview and the panel consisted of CP Mohan Sir, Sarat Malik Sir and Vidhika Ma’am. This mock interview was quite beneficial as they gave me a comprehensive performance analysis. They also pointed out the areas that I could improve on and gave me some important tips for the same.

Official SEBI Grade A Legal Interview 2020-21

My SEBI Grade A Law Officer Interview was scheduled to take place on June 08, 2021. I had chosen SEBI’s New Delhi Regional Office for the Interview. The Interview panel consisted of four members and they were all very cordial. Furthermore, my Interview lasted for around ten minutes. To give you an insight into the minds of the Interviewers, I will also share the questions that they asked me during the interview.

The first Member of the panel set the tone for the Interview. The following questions were asked-

  1. Introduction
  2. Gap after education 
  3. What is debarment?
  4. What is the nature of orders passed by SEBI?
  5. Who passed the order in the Franklin Templeton case? (this was in the news on the day of the Interview)
  6. What is the Appeal procedure?

M2

  1. Asked me just one question about the place from where I did my graduation i.e. What is the most famous place in that city?

M3

Here, I was asked questions about my Internship experiences.

  1. Difference between the review and revisional jurisdiction of the High Court.
  2. What are leading questions and when can they be asked?
  3. What is the procedure if the witness contradicts himself in the examination-in-chief and cross examination?

  1. Is anticipatory bail defined in the Code Criminal Procedure, 1973?

Important Points to Remember

In this section, I would like to highlight some important points that you must keep in mind while preparing for the SEBI Grade A Legal Interview-

  1. Prepare your answers properly, especially the introduction question.
  2. Be thorough with technical and subject related questions (SEBI Act, SC(R) Act Depositories Act and key highlights of Companies Act)
  3. Know the history of SEBI.
  4. Have a basic understanding of concepts related to securities and capital markets.
  5. Follow the latest news with respect to SEBI and RBI.
  6. Know the key highlights of the Union Budget and Economic Survey.
  7. Practice as much as you can.
  8. If you are a working professional, go through your resume properly and prepare a list of probable questions.
  9. Try to lead the conversation in a direction you want. 
  10. Most importantly, read the newspaper on the day of your Interview.
